Throughout the Chapter 11 process, the Debtor has been working hard to find a consensual resolution that would be acceptable to the Bank as well as the Unsecured Creditors. Consistent with the filed Plan of Reorganization, Sea Trail’s Real Estate Property and Resort Operations will be marketed for sale to a third party. As a result of our negotiations, we have ensured the continued operations of the resort and golf at Sea Trail and we expect a smooth transition to the eventual buyer of the property. Important Notice on Sea Trail Corporation and Bank Agreement

Agreement Summary:

1.      The Sale Process of Waccamaw Bank collateral and personal property including 173 sewer tap fees shall begin immediately (except for carve-out properties described below).

        Bank shall control the sale process and select the broker, subject to Court approval. Motion to approve broker shall be filed within two weeks (February 17th). Motion to approve sale procedures and Motion to sell property free and clear of liens filed by February 24th. Section 363 sale shall occur regardless of whether a plan is ultimately confirmed. Section 363 Bankruptcy Sale defined: A section 363 Bankruptcy sale is a sale of assets in a bankruptcy case, usually in a Chapter 11 reorganization. An expedited auction of a bankrupt company where buyers are able to purchase assets free of any liens. Liens on the underlying assets sold will be reattached to the proceed of the sale and paid accordingly. Section 363 sales do not require shareholder approval.
2.      The unsecured creditor classes shall receive at closing free and clear of Waccamaw Bank's liens the following property:

        Tract 16 (19.53 acres)
        5 acre Sewer Facility
        180 sewer taps
        Net sale proceeds from pending sale of lot for $35,000 (gross purchase price)

3. Debtor shall keep all leases current. Waccamaw Bank shall have discretion to assume or reject leases up to the sale process or through the plan.
4. Interim cash collateral terms remain the same throughout the sale process only in accordance with monthly budgets approved in advance by the bank. Matt Smith to provide rolling 13 week financials each month. Waccamaw Bank will not object to payment of professional fees as long as the debtor has funds to pay them but only after payment of all approved budgeted items.
5. Matt Smith will be appointed as the Chief Liquidation Officer charged with implementing the sales procedure and making all related decisions on behalf of the debtor consistent with the procedure. Matt Smith will continue to provide financial data in form and frequency reasonably requested by the Bank.
6. The Automatic Stay shall lift upon confirmation of a plan and no future bankruptcy filing shall stay the sale process and/or future foreclosure by Waccamaw Bank (In rem Relief).
7. With the limited exception of the broker hired by the bank to sell the collateral and Matt Smith to the extent he provides assistance to the broker in the sale process, all parties waive the right to a surcharge of Waccamaw Bank's collateral under 506(c).

            Under § 506(c), a trustee or debtor in possession may recover from property securing an    allowed secured claim.   The “reasonable, necessary costs and expenses of preserving or disposing of, such property to the extent of any benefit to the holder of such claim. The premise underlying § 506(c) is that the unsecured creditors should not be required to bear the costs of preserving a secured creditor’s collateral.

8. Waccamaw Bank agrees to waive any unsecured deficiency claim after the sale.

9. Waccamaw Bank will not object to appraisal testimony being placed under seal.

10. Quarterly fees (estimated to be $13,000.00) shall be paid from the sale of the Waccamaw Bank collateral.

11. April 30, 2012 is the deadline by which the debtor shall confirm a Chapter 11 plan of liquidation, or the automatic stay lifts and the Section 363 sale procedure shall not be impaired.

12. All parties agree to honor the annual membership dues paid by members of Sea Trail.

13. All parties agree to honor membership certificates issued by Sea Trail.

14. Upon closing of the sale of Waccamaw Bank's collateral, all parties agree to convey to the Sea Trail Master Association all common areas, roads and the four (4) beach lots located on Sunset Island free and clear of liens, subject to normal reservation of rights for developers and prohibition of sale or pledge.

The company that owns the sprawling Sea Trail Golf Resort and Convention Center in Sunset Beach filed Tuesday for Chapter 11 bankruptcy protection.
The Brunswick County resort will continue to operate its golf, resort and convention business while it seeks to reorganize its debts, said attorney Trawick "Buzzy" Stubbs of Stubbs & Perdue in New Bern.
"The filing should not have any effect on operations," said Dana Connelly, chief operating officer for Sea Trail Corp., the resort's owner. "The golf courses will be maintained as usual."
In the filing Tuesday in U.S. Bankruptcy Court for Eastern North Carolina, Sea Trail Corp. listed assets of more than $34 million - most of that in real property. The company owns parcels within the Sea Trail community.
It listed debts of more than $22 million, including a total of nearly $15.5 million to Waccamaw Bank.
Also among the debts are more than $461,000 in unpaid property taxes to Brunswick County, according to the filing.
The resort, which stretches over 2,000 acres, has a little over 100 full- and part-time employees, Connelly said.
It includes 58,000 square feet of meeting and event space, an activity center with indoor and outdoor pools and three golf courses. It has been in operation for more than 25 years.
The resort is connected to the Sea Trail Plantation residential community, which is not affected by Tuesday's filing.
Stubbs blamed Sea Trail Corp.'s problems on a decline in discretionary spending by consumers, particularly in the golf and resort markets.
The company "has been attempting to work out a plan to restructure its debts with Waccamaw Bank, its primary secured creditor," he said. But the sides could not agree, which prompted the Chapter 11 filing.
Under Chapter 11, a company seeks protection from its creditors while it reorganizes so it can pay its debts.
Resort manager Charlestowne Hotels is leaving Sea Trail at the end of this month, said Michael Tall, vice president of the company, based in Mt. Pleasant, S.C. It was not known whether Charlestowne's exit was related to Sea Trail's financial problems.
Sunset Beach Mayor Ronald Klein lives in Sea Trail Plantation, which uses the resort's facilities.
"Having the golf course in good condition and good operating order means quite a bit to the people here," Klein said Tuesday, and for people "to get full value out of their houses if they should decide to move on."
He said that there had been rumors for days that a bankruptcy filing was coming.

Recently Dana sent a letter to the condo owners in the rental program informing them of the impending foreclosure and Sea Trail’s plans to address it. The text of Dana’s message is as follows:

“As you know, a foreclosure proceeding has been brought against Sea Trail Corporation by our lender. Many of you have asked what exactly is being foreclosed on, how this effects you, and what will happen moving forward. I will attempt to answer these questions the best I can as of right now.

The Clerk of Court has authorized the rights of the lender to proceed with the foreclosure proceeding against Sea Trail Corporation. The assets that are being foreclosed upon include assets that are listed in the Deeds of Trust to the lender as collateral. Sea Trail Corporation is in the process of formulating a reorganization plan which would be filed prior to any court ordered sale taking place. In essence, the filing of the reorganization plan would halt the foreclosure process, and leave Sea Trail Corporation in control of its assets during the time of reorganization. To this end, we have employed one of the most highly qualified legal firms in the Southeast to represent Sea Trail in the filing of this reorganization plan and in this reorganization process.

At this time, we are still aggressively pursuing a management firm to handle the rental management operations of Sea Trail Corporation. Any reorganization plan that is filed will not affect Sea Trail’s ability to contract with a management firm. The management firms that Sea Trail have been corresponding with are aware of what has transpired, and each of the firms has extensive experience in turnarounds and reorganization situations. We feel this is an important qualification to have during this time in order to achieve a successful outcome for everyone. We are not anticipating these processes to interfere with the normal course of business. Should there be any operational changes that do become necessary, you will be informed. We received the last proposal yesterday, and will be working through the proposals with the companies over the next several days to hopefully reach an agreement that sets forth a definitive course of action.

It continues to be our desire to operate Sea Trail in the most efficient and profitable manner, with the end result being to position Sea Trail in the marketplace to attract investors and/or purchasers of the assets. We have been informed this process could extend out as long as 18 - 24 months.
